NARRATIVE
State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period.
Kaixin Auto Holdings (the “Company”) has determined that it is unable to file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2019 (the “Form 10-Q”) by May 10, 2019, the original prescribed due date for such filing. As previously announced in in its Current Report on Form 8-K filed with the Securities and Exchange Commission on May 6, 2019, the Company on April 30, 2019 completed its previously announced business combination (the “Business Combination”) pursuant to which it acquired of all of the issued and outstanding shares of Kaixin Auto Group. The Form 10-Q will be the Company’s first periodic filing since the completion of the Business Combination. Accordingly, the Company needs additional time to complete certain disclosures and analyses to be included in the Form 10-Q. The Company is therefore unable to file its Form 10-Q within the prescribed time period without unreasonable effort or expense. The Company expects to file its Form 10-Q on or before the fifth calendar day following the prescribed due date.
